1. About these terms

These terms are an agreement between you and Manx Digital Technology Ltd, trading as Manx Digital, at 8 Kirby Hill, Douglas, IM2 1PA, for your use of Book Beaver. By creating an account or using the service, you agree to them. If you use Book Beaver for another business or organisation, you confirm that you have authority to bind it.

Book Beaver is intended for people acting for purposes wholly or mainly within their trade, business, craft or profession. You must be at least 18 and able to enter a binding agreement.

2. What Book Beaver does

Book Beaver provides a simple cashbook for income and expenses, document storage, customers, invoices, dashboard summaries, filters, CSV exports and subscription features. It is records software, not a bank account, payment service, tax filing service, payroll service, double-entry accounting system or regulated professional service.

Customer invoices created in Book Beaver are separate from Stripe. Book Beaver does not collect your customers' invoice payments, verify that money has arrived, chase debts or submit records to HMRC, the Isle of Man Treasury or another authority.

3. Your account

• Provide accurate account, business and billing information and keep it current.
• Keep your password, email account, sessions and devices secure; you are responsible for activity through your account unless caused by our breach.
• Use one account only for a business you own or are authorised to manage.
• Tell us promptly about suspected unauthorised access or inaccurate account ownership.

4. Your records and responsibilities

You are responsible for the completeness and accuracy of entries, categories, counterparties, VAT treatment, exchange rates, invoice details, payment status, exports, filings and deadlines. Review generated totals and invoices before relying on or sending them.

Keep your original documents and independent backups for as long as law or your advisers require. Book Beaver must not be your only copy of records that you are legally required to preserve. Deleting an entry, document, invoice or account does not remove your underlying legal record-keeping obligations.

5. No accounting, tax or legal advice

Book Beaver, its categories, summaries, VAT fields, invoice checks, exchange-rate conversions and help text are general record-keeping tools. They are not accounting, tax, legal, financial or regulatory advice and do not guarantee that a record, invoice, return or tax treatment is correct or compliant for your circumstances.

You remain responsible for obtaining advice from a qualified accountant, tax adviser or lawyer and for meeting the rules that apply to your business. No feature creates an adviser-client, fiduciary or agency relationship with Manx Digital.

6. Currency conversion

USD entries may be converted to GBP using historical data labelled as Bank of England data and obtained through an exchange-rate provider. Non-working days may use the most recent preceding published rate. Rates may be delayed, unavailable, revised, rounded or unsuitable for a particular tax, VAT or accounting purpose.

The conversion is a convenience, not a foreign-exchange service or a guarantee of the rate accepted by an authority. You must verify and, where necessary, replace or separately document the rate required for your records.

7. Customers, counterparties and invoice links

You must have a lawful reason to enter and use personal data about customers, suppliers and counterparties, provide your own privacy information where required, and respect their rights. You must have authority to include any content, document, logo, payment instruction or third-party information you use.

A secure invoice URL works as a bearer link: anyone with a valid link may be able to view that invoice. You are responsible for the recipient and delivery address you choose. Email delivery and recipient access are not guaranteed. Marking an invoice paid is your manual record and is not evidence that a bank or customer completed payment.

8. Your content and our licence

You keep ownership of the business records and files you submit. You give Manx Digital and its service providers a non-exclusive licence to host, copy, process, transmit and display that content only as reasonably needed to provide, secure, support and maintain Book Beaver, comply with law, and act on your instructions.

Book Beaver's software, design, documentation, branding and service materials belong to Manx Digital or its licensors. These terms do not transfer those rights to you.

9. Acceptable use

• Do not use Book Beaver for unlawful, fraudulent, deceptive, abusive or rights-infringing activity.
• Do not upload malware or content you have no right to store, or use invoice features for spam, impersonation or misleading demands.
• Do not probe security, bypass access controls or plan limits, overload the service, scrape it at scale, or reverse engineer it except where law expressly permits.
• Do not attempt to access another user's ledger, receipts, customer information or invoice links without authority.

10. Plans, subscriptions and payment

The Free and Keeper plans, current prices and allowances are described on the pricing page. Keeper subscriptions renew monthly or annually until cancelled. The checkout page shows the amount and any applicable taxes before you pay. Stripe processes subscription payments through ManxPay; Stripe's terms and privacy policy also apply to its hosted services.

You can manage or cancel an active subscription through the hosted billing portal where available. Cancellation normally takes effect at the end of the paid billing period. Unless law requires otherwise, charges already incurred are non-refundable. Failed or reversed payment may suspend Keeper entitlements or return the account to Free.

A downgrade never intentionally deletes ledger data solely because it exceeds the new plan. Reading and exporting remain available, but new entries, invoices or uploads may be blocked while the account is over an allowance. We may change future prices or limits with reasonable notice; changes do not alter a period already paid for.

11. Service availability and changes

Book Beaver is provided on an as-available basis. We work to keep it reliable, but do not promise uninterrupted or error-free operation, permanent availability of a particular provider or feature, successful email delivery, or that every file can be recovered.

We may maintain, secure, update, replace, suspend or discontinue features. If we discontinue the service, we will take reasonable steps to give active account holders notice and an opportunity to export data where practicable. Emergency, legal or security action may require shorter notice.

12. Suspension and ending use

You may stop using Book Beaver at any time and may request account closure by contacting support. Cancelling Keeper does not itself close the account. We may restrict or suspend access for a material breach, non-payment, suspected fraud, security risk, unlawful use, provider abuse or a legal requirement. Where reasonable, we will explain the issue and allow it to be corrected.

Provisions that by their nature should continue after termination—including ownership, payment obligations, disclaimers, liability limits and dispute terms—will continue.

13. Disclaimers

To the fullest extent permitted by law, Book Beaver is supplied without implied warranties that can lawfully be excluded. In particular, we do not warrant that it will satisfy your record-keeping, tax, VAT, invoicing, audit or evidential requirements, or that third-party rates, providers and guidance will always be accurate or available.

You are responsible for checking records and maintaining recoverable copies. Manx Digital is not responsible for decisions made solely from Book Beaver summaries or for penalties, interest, rejected claims, missed deadlines or losses caused by inaccurate, incomplete or late information entered by you.

14. Liability

Nothing in these terms excludes or limits liability where doing so would be unlawful, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or deliberate misconduct.

Subject to that sentence and to the fullest extent permitted by law, Manx Digital is not liable for indirect or consequential loss, or loss of profit, revenue, business, opportunity, goodwill, anticipated savings or data. Manx Digital's total aggregate liability arising from Book Beaver in any 12-month period is limited to the greater of £100 and the subscription fees you paid for Book Beaver in that period.

These limits apply only to the extent they are reasonable and enforceable under applicable law and do not affect mandatory statutory rights.

15. Privacy, notices and changes

Our privacy policy explains how personal information is handled. We may send service, security, legal and billing notices to your account email or show them in Book Beaver.

We may update these terms for product, provider, security, commercial or legal changes. We will post the new date here and take reasonable steps to notify account holders of material changes before they take effect. Changes do not remove rights or obligations that arose before their effective date.

16. Governing law and contact

These terms are governed by the laws of the Isle of Man and the courts of the Isle of Man have exclusive jurisdiction, subject to any mandatory rights that apply where you are located. Before formal proceedings, each party should try in good faith to resolve the issue. Contact support@bookbeaver.xyz.
